AeonSea Terms of Service

These Terms of Service ("Terms") form a legally binding agreement between you and AeonSea Technologies ("AeonSea," "we," "our," or "us") governing your access to and use of the AeonSea platform, websites, applications, APIs, and related services (collectively, the "Services"). By creating an account, accessing, or using the Services, you agree to these Terms.

1. Eligibility and Account
  • You represent that the information you provide is accurate, current, and complete.
  • You are responsible for safeguarding your credentials and for all activity under your account.
  • You must promptly notify us of unauthorized access or account compromise.
2. Acceptable Use and Prohibited Conduct

You agree not to use the Services for any unlawful, harmful, fraudulent, abusive, deceptive, or nefarious purpose, including without limitation:

  • Violations of law, regulation, court order, or third-party rights.
  • Impersonation, fraud, phishing, extortion, malware distribution, or unauthorized access.
  • Harassment, threats, hate speech, exploitation, trafficking, or violent/extremist activity.
  • Posting, transmitting, or linking to illegal, illicit, or otherwise prohibited content.
  • Interference with platform security, stability, performance, or moderation controls.
3. User Content, Responsibility, and Liability

You retain ownership of content you submit, upload, transmit, publish, or share through the Services ("User Content"), but you grant AeonSea a worldwide, non-exclusive, royalty-free license to host, store, reproduce, distribute, display, and process User Content solely to operate, secure, and improve the Services.

  • You are solely and personally responsible for all User Content and all actions taken through your account.
  • You assume full personal legal and financial liability for claims, losses, or damages caused by your content or conduct.
  • You represent and warrant that your User Content and conduct are lawful and do not infringe any rights.
  • You acknowledge that AeonSea is not the publisher or guarantor of user-generated content and has no duty to pre-screen all content.
4. Moderation, Enforcement, and Removal

AeonSea may, at its sole discretion and without prior notice, monitor, review, restrict, hide, remove, or preserve content, and suspend or terminate access where we reasonably believe conduct violates these Terms, applicable law, or platform safety requirements.

5. Off-Platform Sharing

Public content may be shared off-platform via links, messaging, and social channels. You are responsible for choosing what you make public and for consequences of off-platform redistribution.

6. Indemnification and Hold Harmless

To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless AeonSea and its officers, directors, employees, contractors, affiliates, licensors, and service providers from and against any and all claims, liabilities, damages, losses, judgments, settlements, penalties, fines, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

  • Your User Content.
  • Your use or misuse of the Services.
  • Your breach of these Terms or violation of law or third-party rights.
7. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, OR ERROR-FREE OPERATION.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AEONSEA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

9. No-Suing Clause, Arbitration, and Class Action Waiver

TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AND AEONSEA AGREE TO RESOLVE ANY DISPUTE, CLAIM, OR CONTROVERSY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES THROUGH FINAL AND BINDING INDIVIDUAL ARBITRATION, AND NOT IN COURT, EXCEPT FOR CLAIMS EXPRESSLY PERMITTED TO BE BROUGHT IN SMALL CLAIMS COURT.

You further agree to a covenant not to sue AeonSea in court for covered disputes and to pursue resolution only through the arbitration process described in this section.

  • You waive any right to a jury trial.
  • You waive any right to participate in a class action, collective action, or representative action.
  • Disputes must be brought only in your individual capacity.
10. Suspension and Termination

We may suspend or terminate access to the Services at any time for violations of these Terms, legal risk, security risk, abuse prevention, or operational reasons.

11. Changes to Terms

We may update these Terms from time to time. Continued use after an updated version takes effect constitutes acceptance of the updated Terms.
